Terms of Service

Effective August 24, 2026 · Version v1.4.0-2026-08-24

These Terms of Service (the "Terms") are an agreement between you and Zonyx Labs LLC - Inventory Mailer Protected Series, the operator of Inventory Mailer (the "Service"). They cover how you may use the Service, how billing works, who owns what, and the legal basics that protect both of us. Please read them. By creating an account or using the Service, you agree to them.

Who you are contracting with. Inventory Mailer is a service of Zonyx Labs LLC - Inventory Mailer Protected Series, a protected series of Zonyx Labs LLC, a Florida limited liability company, located at 7901 4th St N, STE 300, St. Petersburg, FL 33702. The series runs Inventory Mailer as its own business, with its own records and accounts, so your relationship, and any liability, stays with the series that actually operates the Service. Zonyx Labs LLC itself is not a party to these Terms, and nothing in these Terms creates an obligation of Zonyx Labs LLC or of any other series of Zonyx Labs LLC.

"Inventory Mailer" is also a fictitious name registered in Florida by Zonyx Labs LLC, because under Florida law a protected series cannot hold a fictitious name of its own. That registration is a naming record only. It does not make Zonyx Labs LLC the operator of the Service or a party to these Terms, and it does not change who you are contracting with, which is and remains Zonyx Labs LLC - Inventory Mailer Protected Series.

1. Who can use the Service

You must be at least 18 years old and able to form a binding contract. If you are using the Service for an organization, you represent that you are authorized to accept these Terms on its behalf, and "you" then means that organization. You are responsible for everyone who uses the Service under your account.

2. Your account

You are responsible for the information you provide, for keeping your credentials secure, and for all activity under your account. Tell us promptly at support@inventorymailer.com if you believe your account has been accessed without your permission. Each account is isolated from every other account at the database level, enforced by row-level security on every read rather than by application logic.

3. The Service

Inventory Mailer is an email marketing platform built around your inventory. You can manage inventory, contacts, templates, and campaigns, and send email through our delivery provider. We send email on your behalf and at your direction; we do not write your campaigns or choose your recipients. You can also publish items and showcases as public pages, and receive inquiries from the people who visit them. Some capabilities (for example automated feeds and full analytics) are available only on specific plans, and the AI assistant's monthly token allowance varies by plan, as described on our pricing page.

The Service is offered to customers in the United States. We improve and change it over time, so features may be added, changed, or retired. If we make a change that materially reduces a capability your plan depends on, we will give you notice in the app or by email, and if the change does not work for you, you can cancel under Section 9.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is part of these Terms. In short: you may only email people who have given you permission or with whom you have an established business relationship, you must follow applicable anti-spam law (including CAN-SPAM, CASL, and the GDPR), and you may not strip the compliance elements (unsubscribe link, sender identity, postal address) that the Service adds to your email. Violations can lead to suspension or termination under Section 10.

5. Your content and data

Your inventory, contacts, templates, campaigns, and the data you import or generate through the Service ("Your Content") belong to you. You grant us a limited license to host, process, and transmit Your Content for the sole purpose of providing and supporting the Service, including sending the email you direct us to send and publicly displaying the items and showcases you choose to publish.

What you publish is public. When you publish an item page or a showcase, anyone with the link can see it. We ask search engines not to index those pages, but that is a request to search engines and not a security control, and you should not treat an unlisted link as a private one. You decide what goes on a public page and you are responsible for it, including any pricing, photographs, and descriptions, and for having the right to publish them. A team member's contact details appear on a public page only if that member turns their own card on.

For the personal data of your contacts and email recipients, you are the data controller and we act as your processor. Our handling of that data is described in our Privacy Policy and, for customers who need one, our Data Processing Addendum. You are responsible for having a lawful basis (such as consent or a legitimate business relationship) to email the people you upload.

You are responsible for the accuracy, quality, and legality of Your Content and for the means by which you acquired it. Do not upload data you do not have the right to use.

6. Trials

New accounts can start a 30-day free trial on the Pro plan, with sending capped at 500 emails and your contact list capped at 500 contacts, unless we agree to raise those limits for your trial. A valid payment method is required to begin a trial; this is an anti-abuse measure and lets your account continue without interruption if you choose to keep it. We do not charge that payment method during the trial. When the trial ends, nothing is billed automatically: you pick a plan to continue sending, or your account moves to a read-only state where your data stays intact but you cannot send. We will not silently convert a trial into a paid charge.

7. Fees and billing

Paid plans start at $29 per month and are billed monthly in advance in U.S. dollars. Current plans, tiers, and sending limits are shown on our pricing page, which is the reference for prices in effect. Payments are processed by Stripe; by subscribing you authorize us, through Stripe, to charge your payment method the recurring fee for your plan until you cancel.

  • Sending limits. Each plan includes a monthly email allowance. If you reach your allowance, sending pauses until your next billing cycle or until you move to a higher tier. We do not bill per-email overage charges.
  • Add-ons. Optional add-ons (such as additional team seats and Sales Seats) are billed at the rates shown on the pricing page in addition to your plan fee.
  • Plan changes. You can upgrade or change tiers from inside the app; changes take effect for the current or next cycle as indicated at the time of the change.
  • Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes, other than taxes on our income.
  • Failed payments. If a charge fails, we may retry and, after notice, suspend sending until the balance is paid.

8. Price changes

We may change our prices. If a change affects your plan, we will give you at least 30 days' notice by email or in the app before it applies to your subscription. If you do not agree to a new price, you can cancel before it takes effect; continuing to use a paid plan after the change takes effect means you accept the new price.

9. Cancellation and refunds

You can cancel any time from your account settings. There is no annual lock-in and no cancellation fee. When you cancel, your subscription stays active through the end of the period you have already paid for, and then does not renew. Because plans are billed monthly, fees already paid are non-refundable except where required by law or where we have clearly stated otherwise in writing. Canceling stops future billing; it does not by itself delete your account or data (see Section 11 and our Privacy Policy for deletion and export).

10. Suspension and termination

You may stop using the Service at any time, and you may ask us to close and delete your account as described in Section 11. We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy, if your use creates a security, legal, or deliverability risk to the platform or its other customers, or if required by law. Where practical we will tell you what triggered a suspension and what is needed to be reinstated. For serious or repeated violations (for example willful spam or sending phishing content) we may terminate without refund.

On termination, your right to use the Service ends. You can ask us for a copy of Your Content before or shortly after termination, and for a 30-day window after we process a deletion your data is recoverable before it is permanently purged. Sections that by their nature should survive termination (for example Sections 5, 7, 11, 12, 13, 14, 15, 16, 17, and 19) survive.

11. Data export and deletion

Export. Your data is yours and we will not hold it hostage. Email support@inventorymailer.com and we will send you a copy of your inventory, contacts, templates, and campaign records in a common, machine-readable format within 45 days, at no charge. We are building self-serve export into the app; until it ships, the request route above is how you get your data out, and it is a commitment, not a courtesy.

Deletion. To close your account and delete your data, email support@inventorymailer.com from the address on the account. We will confirm the request, cancel any active subscription, and then delete. Deletion is a soft-delete with a 30-day grace window before a permanent purge, which gives you time to recover from a change of mind. We retain suppression-list entries (unsubscribes, bounces, and complaints) as needed to keep honoring opt-outs and to meet our own legal obligations, even after other data is removed.

12. Third-party services

We use the vendors listed on our Subprocessors page (for example for hosting, email delivery, and payments) to operate the Service. Their handling of data is governed by their own terms and privacy policies, linked from that page. We are not responsible for third-party services you choose to connect to the Service on your own.

13. Intellectual property

The Service, including its software, design, and the Inventory Mailer name and brand, belongs to Zonyx Labs LLC - Inventory Mailer Protected Series or its affiliates and their licensors. These Terms do not grant you any rights in our intellectual property except the right to use the Service as described. If you send us feedback or suggestions, we may use them to improve the Service without obligation to you.

14. Warranties and disclaimers

We provide the Service with reasonable skill and care and aim for high availability, but the Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, and we do not guarantee email deliverability or inbox placement, which depend on your list quality, sending practices, and the receiving mail systems we do not control.

15. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility. Our total liability for any claim arising out of or related to the Service is limited to the greater of the fees you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to defend and indemnify Zonyx Labs LLC - Inventory Mailer Protected Series against third-party claims, damages, and costs (including reasonable legal fees) arising from Your Content, your use of the Service in breach of these Terms or the law, or your violation of someone else's rights, including claims that the people you emailed did not consent to receive your email.

17. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Talk to us first. We would always rather fix a problem than argue about one. Before either of us starts a legal proceeding, the party with the complaint will send the other a written description of it, and both of us will try in good faith to resolve it for 30 days after that notice. Send yours to support@inventorymailer.com; we will send ours to the email on your account. This step is a requirement, not a suggestion, except that either party may seek an injunction at any time to protect its intellectual property or confidential information.

Where disputes are heard. If a dispute is not resolved that way, you and Zonyx Labs LLC - Inventory Mailer Protected Series agree to the exclusive jurisdiction of the state and federal courts located in Florida. Each party consents to personal jurisdiction and venue there and waives any objection based on inconvenient forum.

Jury trial waiver. To the fullest extent permitted by law, each party knowingly, voluntarily, and intentionally waives its right to a trial by jury in any proceeding arising out of or related to these Terms or the Service. Each party acknowledges that it has had the opportunity to consult counsel about this waiver and that this waiver is a material inducement to enter into these Terms.

Class action waiver. To the fullest extent permitted by law, each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Neither a court nor any other tribunal may consolidate the claims of more than one person without the written consent of both parties. If this paragraph is found unenforceable as to a particular claim, that claim is severed from the others and the rest of this section still applies.

18. Changes to these Terms

We may update these Terms from time to time. For material changes, we will give notice in the app or by email and, where appropriate, ask you to re-accept before your next sending action. The version and effective date at the top of this page always reflect the current Terms. Continuing to use the Service after a change takes effect means you accept the updated Terms.

19. General

  • Entire agreement. These Terms, together with the Acceptable Use Policy, Privacy Policy, and any Data Processing Addendum, are the entire agreement between us about the Service.
  • Severability and waiver. If any part is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of the assets of the series that operates the Service.
  • The contracting party. Your agreement is with Zonyx Labs LLC - Inventory Mailer Protected Series alone. Zonyx Labs LLC and every other protected series of Zonyx Labs LLC are separate for purposes of assets, liabilities, and obligations, and none of them is a party to, guarantor of, or otherwise liable under these Terms. The fictitious name "Inventory Mailer" is a naming registration held by Zonyx Labs LLC and does not change this.
  • No third-party beneficiaries. These Terms are between you and us. They do not create rights for anyone else, including your email recipients.
  • Independent parties. We are independent contractors to each other. These Terms do not create a partnership, joint venture, agency, or employment relationship.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices and electronic communications. We may send notices, including legal notices, to the email address on your account, and you agree those count as written notice. Keep that address current. You can reach us at the address below.
